Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and OneStudy ("OneStudy," "we," "us," or "our"). They govern your access to and use of the OneStudy website, applications, and services, including everything you can create with them (together, the "Service").

By creating an account, clicking to accept, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

Please read Section 18 (Dispute Resolution & Arbitration) carefully. It requires you to resolve disputes with us through individual binding arbitration and waives your right to a jury trial and to participate in a class action, unless you opt out within 30 days.

1. Who can use OneStudy

You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority where you live), you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf and is responsible for your use.

By using the Service you confirm that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under the laws of the United States or the place where you live.

2. Your account

To use most features you need an account. You can sign in through third-party providers such as Google or Apple; your use of those providers is also subject to their own terms.

You are responsible for keeping your account secure and for everything that happens under it. Your account is for you personally — do not share your login, sell or transfer your account, or let others use it. Tell us promptly at support@onestudy.ai if you believe your account has been compromised.

3. What the Service does

OneStudy is a study tool. You provide inputs — for example PDFs, slides, notes, documents, recordings, videos, images, and links ("Your Content") — and the Service uses artificial intelligence to turn them into study materials such as notes, flashcards, quizzes and tests, summaries, an AI tutor you can chat with, podcasts, read-aloud audio, and tools like the Math Solver and Grader (together, "Outputs").

We are always improving OneStudy. We may add, change, suspend, or remove features at any time. We will try to give notice of significant changes, but we are not required to.

4. Subscriptions, credits, and billing

Plans. Some features are free. Others require a paid subscription (for example, OneStudy+) or the purchase of credits, at the prices shown at checkout.

Payment processor. Payments are handled by our third-party payment processor, Stripe. By subscribing or purchasing, you authorize us, through Stripe, to charge your payment method. You are responsible for keeping your payment information accurate. We are not responsible for the acts or omissions of the payment processor.

Auto-renewal. Subscriptions renew automatically at the end of each billing period (for example, monthly or yearly) until you cancel. Each renewal is charged at the then-current price for your plan.

Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you keep paid access until then, and you will not be charged again after that.

Credits. Credits and top-ups are one-time purchases that are consumed as you use paid features. Credits are not money, have no cash value, are non-transferable, and — except where the law requires otherwise — are non-refundable and may be forfeited if your account is closed or terminated.

Refunds. Except where required by law, all payments are final and non-refundable. Cancelling stops future charges but does not refund the current billing period, partial periods, or unused credits.

Price and tax changes. We may change prices or introduce new charges. We will give advance notice of changes to recurring prices, and they will apply to your next billing period. Prices exclude any applicable taxes, which are your responsibility unless we state otherwise.

Failed payments. If a charge fails, we may suspend, downgrade, or limit your access until the payment is resolved.

Free trials and promotions. We may offer trials or promotional pricing. Unless stated otherwise, a trial converts into a paid subscription at the end of the trial period unless you cancel before it ends. We may change or withdraw promotions at any time.

5. Acceptable use

You agree not to, and not to help or permit anyone else to:

  • break the law, infringe anyone's rights, or violate anyone's privacy while using the Service;
  • upload or process content you do not own or do not have the necessary rights, licenses, or permissions to use;
  • upload material that is unlawful, harmful, harassing, hateful, defamatory, sexually exploitative, or that contains malware;
  • upload sensitive personal information you are not authorized to handle — for example government ID numbers, financial account numbers, health or biometric data, or precise geolocation;
  • reverse-engineer, decompile, scrape, data-mine, or use bots, crawlers, or other automated means to access the Service, except as expressly permitted;
  • probe, disrupt, overload, or attempt to gain unauthorized access to the Service or its systems, or circumvent any usage limits, quotas, or security measures;
  • resell, redistribute, sublicense, or commercially exploit the Service, or use it to build a competing product; or
  • remove or alter any notices, or use our name, logos, or branding without permission.

We may investigate and take action — including removing content, and suspending or terminating accounts — for conduct we reasonably believe violates these Terms or is otherwise harmful.

6. Academic integrity

OneStudy is built to help you learn — to supplement your studying, not to replace it and not to help you cheat. You are responsible for using the Service honestly and for following the rules, honor codes, and exam and assignment policies of your school, instructor, or institution.

You agree not to use the Service to gain an unfair academic advantage, to complete work in a way your institution prohibits, or to solicit or distribute exam questions, answers, or other assessment materials without authorization. How you use Outputs is your responsibility.

7. Your Content

You keep all rights you already have in Your Content. We do not claim ownership of it.

To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, and transmit Your Content — including by sending it to the AI providers as described in Section 12 — solely to provide, secure, maintain, and improve the Service for you. This license lasts only as long as we host Your Content and ends when you delete it or close your account, except for backups kept for a limited time and anything we must retain to comply with the law.

You represent that you have all rights necessary to upload Your Content and to grant this license, and that Your Content does not violate these Terms or infringe anyone's rights. You are responsible for keeping your own copies of anything important — we are not a backup service.

8. AI-generated Outputs

Outputs are generated by artificial intelligence. AI can be wrong. Outputs may be inaccurate, incomplete, outdated, biased, or misleading, and may include "hallucinations" — confident-sounding content that is simply incorrect. Output quality also depends on the quality of your inputs.

You are responsible for reviewing and verifying Outputs before relying on them. OneStudy is a study aid — it is not professional, legal, medical, financial, or academic advice, and it is not a substitute for your own judgment or for consulting a qualified professional. You use Outputs at your own risk.

As between you and us, and to the extent permitted by law and by the AI providers' terms, you own the Outputs generated from Your Content. Because AI can produce similar results for different users, we do not guarantee that Outputs are unique to you, and we may generate comparable content for others.

9. Our intellectual property; your license to use OneStudy

The Service — including its software, design, text, graphics, logos, and the OneStudy name and brand (but excluding Your Content and Outputs) — is owned by us or our licensors and is protected by intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial studying and learning. This license is the entire grant of rights we make to you; we reserve all rights not expressly granted. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service except as these Terms allow.

10. Feedback

If you send us ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without any obligation or compensation to you. Feedback is not confidential.

11. Privacy

Our Privacy Policy explains what we collect and how we use it. By using the Service, you consent to those practices. Because we operate the Service from the United States, your information may be processed there and in other countries whose data-protection laws may differ from your own.

12. Third-party services

The Service relies on and integrates with third parties, including sign-in providers (such as Google and Apple), our payment processor (Stripe), hosting and storage providers, and AI model providers. Your Content and inputs may be sent to these AI providers to generate Outputs.

We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy policies. Links to third-party sites are provided for convenience and are not endorsements.

13. Copyright and DMCA

We respect intellectual property rights and expect you to do the same. If you believe content on the Service infringes your copyright, send a notice to support@onestudy.ai that includes: (a) your signature (physical or electronic); (b) identification of the copyrighted work; (c) identification of the material claimed to infringe and where it is located; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.

We may remove infringing material and terminate repeat infringers' accounts. If your material was removed by mistake, you may submit a counter-notice with the same contact information.

14. Suspension and termination

You may stop using the Service and delete your account at any time from your settings.

We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if your use could harm the Service, us, or others. On termination, your right to use the Service ends and we may delete Your Content, subject to the Privacy Policy and any legal retention requirements. Sections that by their nature should survive — including Sections 7–10 and 15–20 — will survive termination.

15. Disclaimers

The Service and all Outputs are provided "as is" and "as available," without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, accurate, or error-free. No advice or information you get from the Service creates any warranty not stated here.

16. Limitation of liability

To the fullest extent permitted by law:

  • We and our owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or study materials, arising from or related to your use of (or inability to use) the Service.
  • Our total liability for all claims relating to the Service is limited to US $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the maximum extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless OneStudy and its owners, employees, and suppliers from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content or your inputs; (b) your use of the Service; (c) your violation of these Terms or of any law or third-party right, including any school or institutional policy; or (d) your misuse of Outputs. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with us.

18. Governing law; dispute resolution & arbitration

Governing law. These Terms are governed by the laws of the State of New Hampshire, United States, without regard to its conflict-of-laws rules.

Informal resolution first. Before starting arbitration, you agree to contact us at support@onestudy.ai and try in good faith to resolve the dispute for at least 30 days.

Binding arbitration. If we cannot resolve a dispute informally, you and we agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be seated in New Hampshire, though you may request telephonic or video participation. The arbitrator decides all issues, except that a court may decide whether the class-action waiver below is enforceable.

Jury and class-action waiver. You and we waive the right to a trial by jury and the right to participate in a class, collective, or representative action. Disputes will be resolved only on an individual basis. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this section still applies.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@onestudy.ai within 30 days of first accepting these Terms, stating your name, the email on your account, and that you are opting out of arbitration. Opting out does not affect any other part of these Terms.

Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent allowed by law.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting a notice or updating the date above. Changes take effect when posted (or on a later stated date), and your continued use of the Service after that means you accept the updated Terms. If you do not agree, stop using the Service.

20. General

Electronic communications. You agree that we may provide notices, agreements, and disclosures electronically — by email, through the Service, or by posting them — and that these satisfy any legal requirement that they be in writing.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any prior agreements on that subject.

Assignment. You may not assign these Terms without our consent. We may assign them, for example in connection with a merger, acquisition, or sale of assets.

Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce any provision is not a waiver of it.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

No agency. These Terms do not create any partnership, agency, or employment relationship between you and us.
